Terms of Service

1. Overview

These Terms of Service govern your use of the Defined Chase Client Portal ("Portal") operated by MB "Planuotojas" (Defined Chase) ("we", "us"). By accessing the Portal, you agree to these terms.

2. Access and Accounts

• Access is provided to clients and team members of Defined Chase
• You are responsible for maintaining the security of your account credentials
• You must not share your login credentials with unauthorized parties
• We reserve the right to suspend accounts that violate these terms

3. Permitted Use

The Portal is provided for viewing marketing performance reports, analytics, and insights related to your advertising and organic social media campaigns managed by Defined Chase.

4. Connected Platforms

When you connect third-party advertising and analytics platforms (Google Ads, Meta, LinkedIn, DV360, GA4 and others) to the Portal via OAuth:

• You authorize us to access the data and capabilities you have explicitly granted at the consent screen
• For reporting connections, we access data in read-only mode
• For management connections you have explicitly opted in to (e.g. campaign management on Google Ads or LinkedIn), we may create, update, pause or modify campaigns, ad groups, creatives, budgets and similar objects on your authorized accounts — strictly within the scopes you granted and the actions you initiate from the Portal
• You can revoke any platform connection at any time via the Portal or via that platform's own account settings, which immediately stops further data ingestion and management actions

4a. LinkedIn-Specific Terms

Where you authorize Defined Chase to access your LinkedIn ad accounts, Pages, or Lead Gen Forms via LinkedIn's OAuth flow, we additionally undertake the following:

• We use LinkedIn data only for the purposes you have engaged us for: reporting, lead routing to your CRM, notification, and (where you have explicitly opted in) campaign management on your behalf
• We do not use LinkedIn data for advertising targeting, audience building, lookalike modeling, retargeting, profiling, or sale to third parties
• We do not share LinkedIn data with other Defined Chase customers; per-tenant data isolation is enforced at the application and database layer
• Lead Gen Form responses are routed only to the destinations you have configured (your CRM, your webhook, your notification channels) and retained in our infrastructure for an audit window of 90 days; the system of record is your CRM
• Our use of LinkedIn data is governed by the LinkedIn API Terms of Use in addition to these Terms

5. Data Accuracy

We strive to present accurate data, but reporting depends on third-party APIs (Google Ads, Meta, LinkedIn, etc.). We are not responsible for data discrepancies caused by platform API limitations or delays.

5a. AI Features

The Portal uses AI providers (Anthropic Claude and OpenAI) as data processors to generate insights, report narratives, and assistant answers from the data shown in your portal. This data is used only to produce your own reports and answers and is not used to train AI models. AI features are optional and can be disabled on request. See the Privacy Policy ("AI & Automated Insights") for full details.

6. Intellectual Property

The Portal, including its design, code, and features, is the intellectual property of MB "Planuotojas" (Defined Chase). You may not copy, redistribute, or reverse-engineer any part of the Portal.

7. Limitation of Liability

Defined Chase shall not be liable for any indirect, incidental, or consequential damages arising from use of the Portal. Our total liability is limited to the fees paid for the services in the preceding 12 months.

8. Governing Law

These terms are governed by the laws of the Republic of Lithuania. Any disputes shall be resolved in the courts of Vilnius, Lithuania.
